The CRF Constitution is the organization’s binding framework for governance, accountability, and transparency. It sets out our objectives, membership criteria, leadership structures, election and meeting procedures, financial stewardship, and ethical commitments.

CONSTITUTION
Article-1 : Name and nomenclature of the organization:
The name and nomenclature of the organization shall be Care & Rise Foundation (CRF), hereinafter referred to as “the Foundation”.
Article-2 : Head office of the organization :
The Head office of the Foundation shall be located at Razzak Khan Sorok, ward no: 29, holding no: 2732, Post: Kashipur, Upazila: Barishal Sadar, District: Barishal.
Article-3 : Nature of the organization :
The Foundation shall be a non-profit, non-political, voluntary, and non-religious organization working for public benefit.
Article-4 : Vision :
CRF envisions a society where every individual, particularly the poor and disadvantaged, may be self reliant by providing humanitarian assistance.
Article-5 : Mission :
CRF’s mission is to make people self reliant by extending needful support for their sustainable future.
Article-6 : Aims and objectives :
(a) Providing services to all regardless of race, religion and color as a non-political, non-profit, voluntary welfare organization.
(b) To conduct special training programs for skill development.
(c) Education for adult and underprivileged children in order to eradicate illiteracy.
(d) Climate action and environmental protection.
(e) Different activities for poverty reduction.
(f) Health and hygiene awareness in rural and urban areas and providing support, specially, for cancer patient.
(g) Prevention of child marriage and dowry.
(h) Woman empowerment and gender equality.
(i) Emergency relief during natural disasters.
(j) Giving free legal service to the poor and distressed.
(k) Awareness program for Family planning.
(l) Providing free ambulance services to patients.
(m) Providing food and financial assistance to needy families.
(n) To undertake and implement education, training and rehabilitation programs regardless of race, religion & caste.
(o) To undertake and implement income generating projects, microcredit program for sustainability of the Foundation.
(p) Celebrating national days, organizing reunions and extending support for burial/cremation of helpless dead people.
(q) Overall support for the helpless and disabled and improvement of the quality of life of the underprivileged population.
(r) To collaborate with national and international organizations for community development.
(s) Any other lawful social welfare activity consistent with the mission.
Article-7 : Activity area of the organization :
The activities of the Foundation will be within Barishal District. However, if necessary, its welfare activities can be expanded to any area with the approval of the registration authority.
Article-8 : Eligibility of Membership :
(a) Any person (18 years or older) of good moral character having sound health and interested in the objectives of the Foundation may become a member.
(b) Ability and mindset for regular payment of subscription.
(c) A person who contributes to the development of society and is loyal to the constitution.
Article-9 : Inclusion of Membership :
(a) Application in the prescribed form for membership to be supplied by the Foundation.
(b) Admission fee shall be Taka 100/- only and monthly subscription shall be Taka 50/- only.
(c) Application duly recommended by a member of the committee.
(d) Subject to approval of the Executive committee.
Article-10 : Termination of Membership :
(a) Resignation, death or violation of the foundation’s rules.
(b) If any conduct contrary to the constitution is proved.
(c) Embezzlement of the Foundation’s fund will result termination of general membership and will be punishable under the prevailing laws of the country.
(d) If the monthly subscription is outstanding for six consecutive months without reasonable cause.
(e) Remaining absent from three consecutive meetings without any reason.
(f) If found insane, bankrupt and guilty by the court of law.
(g) Involvement in any anti-state activity.
(h) If inactive from the activities of the Foundation for six months.
Article-11 : Reinstatement of Membership :
On the recommendation of a member of the Executive committee, the concerned person will be able to apply to the President for reinstatement with explanation. The president will present the application to the Executive committee meeting. The applicant member may regain membership with the approval of the Executive committee.
Article-12 : Membership :
(a) Membership shall be open to any person who supports the objectives of the Foundation.
(b) Members must obey the constitution and rules of the Foundation.
(c) There shall be the following categories of members.
General Member
Executive Member
Honorary Member
General Member :
Any conscientious and honest person of the activity area who believes in the ideals and objectives of the Foundation can become a general member by paying admission fee Taka- 100/- and monthly subscription Taka- 50/-. Each of them will have voting rights. They will participate in various activities in addition to participation in the general meeting.
Executive Member :
All members of the Executive committee elected by the general members are the executive members. They will participate in all meetings and implement various programs and activities.
Honorary Member :
Executive committee shall take decision to give Honorary Membership of the Foundation showing respect to the distinguished person’s on the basis of their significant contributions, achievements and public service.
Article-13 : Executive Committee :
(a) The Executive Committee shall be the governing body of the foundation.
(b)It shall consist of the following positions :
President – one person
Vice President – one person
General Secretary – one person
Office Secretary – one person
Treasurer – one person
Executive Member – Two persons
(c) Term : The Executive Committee shall serve for a period of two (2) Years.
(d) Overall duties :
Formulate and implement policies.
Approve budgets and development plans.
Oversee projects and financial management.
Represent the foundation in official matters.
(e) Position wise duties and responsibilities :
President : President will be the head of the Executive committee as per constitution. He/She will play main role in managing the organization in order to implement the declared policies, ideals and objectives as per constitution of the Foundation. The president may, by special power, give a casting vote on any decision if necessary.
Vice President : In absence of the President, the vice President will perform the duties of the president. In addition, he will perform any other duties as decided by the Executive committee.
General Secretary: The General Secretary will perform the duties and responsibilities as the Executive Director of the Foundation. He/She will perform and control all the functions according to the constitution of the Foundation. He/She will maintain Liaison with all the members on behalf of the Executive Committee, organize meetings, record the decisions and coordinate various activities within and outside the activity area of the Foundation. He/She will represent the Foundation at the invitation of another organization / institution. The General Secretary will perform day to day functions and activities of the Foundation including required financial expenditure in accordance with the statutory rules and regulations. Maximum cash in hand amounting to Taka- 1000/- (Taka One thousand) only can be kept to meet up such daily expenses. However, any expense must be approved at the Executive committee meeting.
Office secretary: The office secretary will perform the duties to be assigned by the Executive committee.
Treasurer: The Treasurer will be responsible for all financial matters of the Foundation. He/She will maintain all types of vouchers, membership subscription, various types of donations and funds and accounts of income and expenditure of the Foundation.
Executive Member : The Executive Member will perform the duties of the Foundation as decided by the Executive committee.
Article-14 : Meetings :
(a) General Meeting: Shall be held once a year to review progress and approve future plans.
(b) Executive Committee Meeting: Shall be held at least once every three months.
(c) Emergency Meeting: May be called by the president or at least one-third of the members.
Article-15: Advisory Committee:
The Foundation will have a five member advisory committee consisting of eminent personality and social worker. Admission fee or monthly subscription will not be mandatory for the members of the advisory committee and advisory committee will have no voting rights.
Article-16: Management of Funds :
(a) The Foundation shall be financed through:
Membership fees.
Donation and grants.
Fundraising events.
Project income (if any).
(b) All funds shall be deposited in a bank account in the name of the Foundation.
(c) General Secretary (Executive Director) and Treasurer shall be the joint signatories of the account.
(d) The accounts shall be audited by an independent auditor.
Article-17 : Amendments :
This constitution may be amended by a two-thirds majority vote of members present at a general meeting, provided that due notice of the amendment has been given at least 14 days ahead of the meeting.
Article-18 : Appointment :
Legal Adviser and the required number of officers/ employees may be appointed as per needs of the Foundation. In case of appointment of Legal Adviser, the decision of the Executive committee shall be final. In case of officers and employees, the Executive committee will form a recruitment board in order to select the candidates for appointment. General Secretary (Executive Director) shall be the appointing authority.
Article-19 : Election :
Election for the Executive committee of the Foundation will be held every after two years by following procedures to be decided at a General Meeting.
Article-20 : Dissolution :
In the event of dissolution, all assets of the Foundation shall be transferred to another non-profit organization with similar objectives as decided by a General Meeting.
